TERMS OF PRODUCTION & SERVICE

OPERATING ENTITY: ASIF KHAN VFX ORG NR: 938 015 627 MVA LAST UPDATED: SEPTEMBER 2026
[01]

Scope of Engagement & Studio Operations

These Terms of Production and Service (“Terms”) govern all visual effects services, creative consultations, multi-pass compositing, rotoscoping, clean-plating, CGI integration, and post-production workflows provided by Scarface VFX (operating under the registered Norwegian entity ASIF KHAN VFX, Org. nr. 938 015 627, Oslo, Norway; hereinafter referred to as the “Studio”) to the engaging production company, studio, director, agency, or individual (hereinafter referred to as the “Client”).

By issuing a purchase order, executing a Master Services Agreement (MSA), approving a written shot bid, or transferring raw camera plates to the Studio, the Client agrees to be legally bound by these Terms unless otherwise superseded in writing by an executed production agreement.

[02]

Bidding, Shot Scoping & Turnovers

All bids, shot counts, and schedules submitted by the Studio are formulated based on the Client’s turnover package, including offline reference cuts, shot notes, lens charts, and plate specifications.

  • Bid Validity: Written quotations remain valid for thirty (30) days from issuance unless otherwise agreed.
  • Scope Revisions: Any alterations to shot handles, plate duration, retimed footage, conform adjustments, camera tracking complexity, or creative briefs outside the agreed bid will constitute an overage and trigger a revised change-order bid.
  • Plate Deliveries: The Client is responsible for supplying source plates conforming to standard dynamic range and colorspace specifications (ACES 2065-1, ACEScg, camera-native log, or 16-bit half-float OpenEXR).
[03]

Review Milestones & Approval Process

Production workflows adhere to structured review stages (e.g., Temp Roto/Matte, First Pass Comp, Director Review, Theatrical Master). Dailies are streamed through secure review channels (Frame.io, ShotGrid, or client-specified platforms) with burnt-in timecode and version identifiers.

Written or digital sign-off on a final version (e.g., “v99 Final Approval”) constitutes acceptance of the creative and technical execution of that sequence. Re-opening completed shots post-final sign-off is billed at standard studio hourly rates.

[04]

Confidentiality & Non-Disclosure (NDA)

The Studio enforces rigorous confidentiality protocols calibrated to high-end theatrical and episodic productions:

  • All plotlines, scripts, rough cuts, talent likenesses, and unpublished visual material are classified as Strict Proprietary Information.
  • Workstations and project files are strictly partitioned, secured behind encrypted storage, and handled only by verified studio personnel.
  • The Studio will not disclose, circulate, or leak unreleased project media under any circumstances.
[05]

Intellectual Property & Promotional Rights

Upon receipt of full and final payment, all final rendered image sequences and deliverable visual effects master frames become the exclusive property of the Client for worldwide theatrical, television, streaming, and home entertainment distribution.

Studio Showcase Rights: Unless subject to a written and active post-release embargo, Scarface VFX and Founder Asif Khan reserve the universal industry standard right to exhibit completed shots, technical breakdown passes (before/after wipes, matte extractions, multi-pass node reconstructions), and credit attribution in the Studio’s portfolio, website, showreel, and festival/award submissions following the official public release or theatrical premiere of the production.

[06]

Payment Terms & Invoicing

Standard production invoicing is structured on milestone schedules (typically 50% upon project commissioning and turnover, 50% upon final delivery of master EXRs), unless established credit facilities or alternative schedules are executed in a written agreement.

Invoices are issued in Norwegian Krone (NOK), Euro (EUR), or US Dollars (USD). Invoices are payable net 14 or net 30 days. Value Added Tax (MVA) is assessed in accordance with Norwegian fiscal law where applicable.

[07]

Governing Law & Dispute Resolution

These Terms, along with any dispute, controversy, or claim arising out of or in connection with the Studio’s engagement, shall be governed by and construed in accordance with the substantive laws of the Kingdom of Norway (Kongeriket Norge).

Any legal proceedings shall be subject to the exclusive jurisdiction of the Oslo District Court (Oslo tingrett, Norway).
